Estate Planning

We preventively advise our clients on the definition of strategies intended to  protect property from debts of operating companies, at a time when there is no indebtedness, or by the instability of family relationships, in a period prior to the change in marital status, or even in cases of moving to another country.

In addition, we present alternatives for structuring the assets, and the strengths and weaknesses, from a legal standpoint, underlying incorporation of a company (equity holding), investment fund (such as,  FIP, FDIC, FIF and FIM funds), trust, life insurance, etc., in Brazil and abroad, for the purpose of protecting assets and facilitating the succession process.

 

Tax Planning Strategies

The Brazilian tax system is one of the most complex in the world. The same activity can be subject to different tax burdens depending on the form of organization of the activities, for individuals or corporations.

We provide guidance for our clients towards organizing their activities in the most tax-effective way, within the limits of tax legislation.

We advise individuals on compliance with their tax obligations as respects income earned in Brazil and abroad.

In partnership with local offices, we coordinate compliance with tax obligations abroad, whenever there is a need to report information on assets and income in Brazil, also in the United States and Europe.  

 

Corporate Affairs Planning Strategies

Relationships between members of a company can erode over time, restricting the perpetuity and growth potential of sound and profitable institutions.

We participate in the definition of governance policies and present the most appropriate strategies for carrying out corporate transactions, including in cases of purchase and sale of companies and in setting the most appropriate strategy for the entry of successors.

Immigration Planning

Moving to another country involves a complex network of formal obligations to be fulfilled not only in the country of destination, but also in the country of origin.

We assist Brazilians who move abroad to comply with Brazilian rules governing termination of tax residency, as well as to maintain compliance with obligations in Brazil, when necessary.

In partnership with local offices, we help our clients to comply with the immigration and tax rules prevailing in the country of destination.

Real Estate

The ownership of a real property and the purchase, sale, donation, construction, inheritance and lease transactions are acts that need to be duly and formally stated before the Brazilian authorities.

The legislation that regulates the rights to use, enjoy, dispose of and repossess real estate is very detailed in establishing which formalities must be fulfilled for the proper registration of information in the competent registry offices.

We facilitate the formalization and  and  maintenance of all information and documentation to keep the property in good standing, and for the proper registration of the  real estate owner, including recommending the creation of instruments to protect and ease the ownership transfer process in cases of succession to residents and non-residents in Brazil.

Social Security Planning

Retirement rules are quite complex, especially because there are different treatments according to the type of work developed and many transition rules, resulting from the legislative amendments promoted in Brazil over the last 20 years.

In addition, Brazilians who have worked abroad and foreigners who have worked in Brazil often need help to validate their length of service when there is authorization to do so by way of international treaties.

In partnership with local offices, we help our clients plan their retirement in Brazil, considering the social security contributions that have already been made and those that will still be paid before the time of retirement.

Tax Litigation

Brazilian tax legislation is quite complex and new rules are created daily to be complied with at federal, state and local levels, some of which do not meet the criteria defined in the plans of the Federal Constitution  and the National Tax Code.

Based on the definition of strategies and collection of documents with our clients, we conduct defenses of undue tax collections in administrative proceedings and in suits seeking the recovery of unduly paid taxes, both for individuals and legal entities.
